The Group · About

A discipline, not a brand.

Amberstone Capital Group SPC Ltd. is a segregated portfolio company incorporated in the British Virgin Islands and recognised by the BVI Financial Services Commission as a Private Investment Fund. We build single-strategy private investment funds at a measured pace.

01 — Origins

We were established to build single-strategy private investment funds, one segregated portfolio at a time, each with its own thesis, regulatory pairing, Board, and economics.

The Company is registered through Quijano & Associates (BVI) Limited at Mandar House, Road Town, Tortola, and recognised by the BVI Financial Services Commission as a Private Investment Fund pursuant to the Securities and Investment Business Act (Revised) and the Private Investment Funds Regulations, 2019. The Investment Manager is, separately, seeking registration as an Approved Manager.

We do not run multiple strategies in parallel. We do not seek public investors. We do not invest outside the host jurisdiction of each portfolio. The segregated portfolio company is, structurally, the cleanest way to build a house this way: each portfolio of an SPC is a discrete pool of assets and liabilities, ring-fenced from any other portfolio of the Company by BVI statute. A fault in one portfolio cannot, as a matter of law, attach itself to the assets of another.

We chose the form because it forces us to think about each portfolio on its own merits — and because it allows the Group to grow at the cadence the work requires, rather than the cadence a sales calendar might prefer.

02 — Five commitments

The principles we hold to in every portfolio.

01 One thesis per portfolio

A single, articulable investment thesis per portfolio. No side-pockets. No co-investment sleeves. No secondary strategies.

02 Two regulators, no more

A BVI fund domicile, paired with one host regulator for the operating entity. No marketing or operations outside that pairing.

03 Capital in escrow

Subscription monies sit in a bank escrow at a BVI-licensed bank, in the Fund's name, until both regulators have signed off.

04 Alignment by structure

European-style whole-fund waterfall with 100% clawback. The Investment Manager is paid only after investors are made whole.

05 Two-Director governance

Asset-management strategy on one side. Operations, compliance and AML/CFT oversight on the other. Conflicts handled by abstention.
